Service Agreement

DRAFT — This agreement is a working draft and has not yet been reviewed by counsel. It reflects Mei's intended customer terms but is not yet binding. The version delivered to you at signup will be the final, reviewed version.

Between Rightway LLC, doing business as Mei ("Mei," "we," "us," or "our"), and the business identified in the order form, signup record, or first Stripe payment ("Customer," "you").

Effective on the date of your first successful Stripe payment to Mei.

1. The Service

Mei provides a multi-tenant AI phone receptionist service (the "Service"). The Service answers inbound calls forwarded to a phone number Mei provisions on your behalf, handles common front-desk questions in English, Mandarin, and Spanish, sends SMS notifications to you when a call needs your attention, and provides a web dashboard for reviewing call activity.

2. Activation

Mei will provision your dedicated phone number, configure the AI receptionist for your business, and walk you through the call-forwarding setup within one (1) business day of your first successful Stripe payment.

Activation may take longer if you do not promptly provide the information we request during onboarding (business hours, staff list, services, owner contact details, etc.). You are responsible for completing the call-forwarding configuration on your carrier — Mei will guide you, but only you can change the settings on your own phone line.

3. Fees and payment

Subscription: $397 per month, flat. No tiers, no per-call charges, no setup fee.

Billing: monthly, in advance, in U.S. dollars, via Stripe. The first month is charged immediately at signup; subsequent months are charged on the same calendar day each month thereafter. Your subscription renews automatically until cancelled.

Price changes: we may change pricing on at least thirty (30) days' written notice.

Taxes: fees do not include sales tax, VAT, or other applicable taxes, which are your responsibility.

4. Failed payment, grace period, suspension

If a Stripe payment fails, we follow this schedule:

You can restore service at any time before Day 30 by completing payment. Restoration is automatic and immediate once payment clears.

We will not interrupt your business over a credit card hiccup. The fourteen-day window before suspension is deliberate. If you let us know about a payment issue before Day 14 — by email or SMS — we will hold suspension at your request for a reasonable additional period at no charge.

5. Cancellation

You may cancel at any time, effective at the end of the then-current billing month. Cancel from your Stripe customer portal or by emailing hello@meihq.com. No notice period required.

We do not prorate refunds for partial months. Service continues until the end of the month you paid for.

After cancellation:

  • Service stops at the end of the billing month.
  • Your data is retained for thirty (30) days, then permanently deleted. You can request earlier deletion at any time.
  • Your Mei phone number returns to our pool and may be re-assigned to another customer after at least seven (7) days.

6. Your phone number

You keep your existing business phone number and your existing carrier relationship. Mei does not port your number. You set up conditional call forwarding from your existing number to the Mei number we provide.

The Mei number is provisioned by us, owned by us, and remains ours. You cannot port the Mei number out of our account.

You are responsible for maintaining the forwarding configuration on your carrier. If you change carriers, plans, or phone hardware, you may need to reconfigure forwarding — we will help you where we can.

7. Your responsibilities

You agree to:

  • Provide accurate business information (hours, address, staff list, services, prices) and keep it current as your business changes;
  • Keep your owner contact details (phone number, email) up to date so we can reach you;
  • Maintain the call-forwarding configuration on your carrier from your business number to the Mei number;
  • Use the Service only in compliance with all applicable laws.

8. Our responsibilities

We will use commercially reasonable efforts to:

  • Answer business calls forwarded to your Mei number, 24 hours a day, 7 days a week (you decide via your carrier's call-forwarding settings which calls reach Mei — overflow only, after-hours only, or all calls);
  • Respond in the language the caller is speaking (English, Mandarin, Spanish);
  • Forward messages, callback requests, and address-text confirmations to you promptly;
  • Maintain reasonable uptime and security for the Service;
  • Notify you of changes that affect how the Service works.

No uptime guarantee in v0. The Service depends on third-party providers (currently Twilio, Vapi, Deepgram, Anthropic, Cartesia, and OVHcloud). When those providers experience outages, the Service may be temporarily unavailable. We do not commit to a specific uptime percentage at this stage. We will notify you of significant outages affecting your business.

9. Call data, recordings, and privacy

Calls handled by Mei are recorded. Both the audio and the text transcript are retained for one (1) year for your review through the owner dashboard. A recording disclosure ("this call may be recorded") is played at the start of every call. You may disable recording for your account at any time by emailing hello@meihq.com; transcripts are always retained.

We retain call audio and call transcripts for one (1) year, and call metadata (date, time, duration, caller phone, language detected, outcome) on an ongoing basis for the life of your account, then purge per the retention policy in our Privacy Policy.

You own your call data. We process it on your behalf to operate the Service. You can request export or deletion at any time by emailing hello@meihq.com.

Our handling of caller information is governed by our Privacy Policy. By using the Service, you authorize Mei to handle your callers' personal information as described in that policy on your behalf and acknowledge that we act as a service provider (in CCPA terms) for that processing.

You will not use call transcripts or caller information collected through the Service in any way that would violate applicable privacy laws.

10. SMS notifications

Mei sends SMS messages on two paths:

  • To callers — when a caller explicitly requests information during a call ("text me the address"), Mei sends that information to the caller's phone. Verbal consent is captured on the same call.
  • To you — when a call results in a message, callback request, or booking that needs your attention, Mei sends an SMS to your owner contact number. You consent to these notifications by providing your phone number at signup.

You may opt out of operational SMS notifications by replying STOP, but doing so means you will only be notified through email and the dashboard, which is slower. We strongly recommend keeping SMS notifications on.

11. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Use the Service to harass, defraud, threaten, or harm any person;
  • Attempt to reverse engineer, decompile, or interfere with the Service;
  • Use the Service to make or facilitate communications to phone numbers you are not authorized to contact;
  • Use the Service to send messages on behalf of any business other than your own;
  • Resell, sublicense, or white-label the Service without our prior written permission.

We may suspend or terminate your account, with or without notice, for any violation of this agreement or any conduct we reasonably believe could expose Mei, our other customers, or third parties to legal, financial, or reputational harm.

12. Intellectual property

Mei retains all rights, title, and interest in the Service, including the Mei software, brand, character, voice, system prompts, and any improvements or modifications we make. You retain all rights to your own business data, including call transcripts, customer information, and configuration you provide.

You grant Mei a non-exclusive, royalty-free license to use your business data solely for the purpose of providing the Service to you and improving it (for example, debugging an issue you report). We will not use your call transcripts to train general-purpose AI models or sell your data to any third party.

13. Warranties and disclaimers

We warrant that we will provide the Service in a workmanlike manner.

Except for the express warranty above, the Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The AI receptionist will sometimes make mistakes — misunderstand a caller, give an answer that's slightly off, fail to detect a language switch, or fail to take a message correctly. You are responsible for reviewing transcripts and following up on calls that didn't go as expected.

14. Limitation of liability

To the maximum extent permitted by law, in no event will Rightway LLC, its affiliates, officers, employees, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, customers, goodwill, or business opportunity, arising out of or in connection with this agreement or your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any and all claims arising out of or in connection with this agreement or the Service will not exceed the greater of (a) the amount you paid us in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

15. Indemnification

You agree to indemnify and hold harmless Rightway LLC and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service;
  • Your violation of this agreement;
  • Your violation of any applicable law or any third-party right;
  • Any content, instructions, or business information you provide to Mei.

16. Changes to this agreement

We may update this agreement from time to time. We will notify you by email of material changes at least thirty (30) days before they take effect. If you do not agree to a material change, your sole remedy is to cancel the Service before the change takes effect.

Non-material changes (typos, clarifications, updates to the subprocessor list in our Privacy Policy) take effect on posting.

17. Governing law and disputes

This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this agreement or the Service will be resolved in the state or federal courts located in Los Angeles County, California. Each party consents to the personal jurisdiction of those courts.

18. General provisions

Force majeure — Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, pandemics, government action, internet or telecommunications failures, or the failure of any third-party service provider on which the Service depends.

Assignment — You may not assign or transfer this agreement without our prior written consent. We may assign this agreement in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

Entire agreement — This agreement, together with the Privacy Policy and the Terms and Conditions, is the entire agreement between you and Mei regarding the Service and supersedes any prior agreements or understandings.

Severability — If any provision is held to be unenforceable, the remainder will remain in effect.

No waiver — No failure or delay by either party in exercising any right under this agreement operates as a waiver of that right.
