These Terms and Conditions ("Terms") govern your use of services provided by Rightway LLC, doing business as Mei ("Mei," "we," "us," or "our"), including the Mei SMS Notifications program described below and the Mei AI Receptionist service offered to small businesses. By calling a phone number answered by Mei, receiving an SMS message from a business that uses Mei, or subscribing to the Mei service as a business owner, you agree to these Terms.

Mei SMS Notifications.
Mei sends SMS messages on behalf of small businesses that use our AI receptionist service. There are two situations in which a message is sent:
We do not send promotional, marketing, or unsolicited messages. No SMS is ever sent to a phone number that did not first initiate a call to a Mei business.
Callers opt in verbally on a live call by requesting that information be texted to them. Business owners opt in by signing up for the Mei service and providing their cell number for operational notifications.
Message frequency varies. Callers typically receive zero to a few messages per call, only when they request information. Business owners receive notifications based on their call activity.
Message and data rates may apply. Mei does not charge you for messages; however, your wireless carrier may charge you according to your plan. Check with your carrier if you are uncertain about your messaging plan.
To stop receiving messages, reply STOP to any message you receive from us. You will receive a one-time confirmation that you have been unsubscribed, after which no further messages will be sent to your number.

AT&T, Verizon Wireless, T-Mobile®, Sprint, Boost, U.S. Cellular, MetroPCS, Virgin Mobile, Cricket, Alltel, Google Voice, and most other U.S. carriers.
Carriers are not liable for delayed or undelivered messages. Mei is not responsible for any delays in the receipt of any SMS messages, as delivery is subject to effective transmission from your network operator. T-Mobile is not liable for delayed or undelivered messages.
This section applies to businesses that subscribe to the Mei AI receptionist service.
The Mei service is billed monthly at the rate disclosed at signup (currently $397/month flat — no tiers, no per-call charges, no setup fee). Subscriptions renew automatically each month until canceled. You may cancel at any time, effective at the end of the then-current billing month. We do not offer prorated refunds for partial months.

We may suspend or terminate your account, with or without notice, for any violation of these Terms.
The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.
Limitation of liability. To the maximum extent permitted by law, in no event shall Rightway LLC, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the service. Our total cumulative liability for any claim arising out of or in connection with these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.
You agree to indemnify and hold harmless Rightway LLC and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content or instructions you provide to Mei.
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. For material changes affecting business subscribers, we will notify you by email. Your continued use of the service after a change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
